6月20日 今年は少し残念だったバンダイナムコ

ほぼ毎年出席しているバンダイナムコ。そのせいか気が緩んで、メモ用のノートを忘れて出かけてしまった。
毎年同じことを書いているけれど、ここの株主総会はとてもいいと思う。多くの株主が発言し、それらを聴いていると、皆さんこの会社のファンです、という気持ちが強く表れている。出席者も比較的若い層が多く、「現役」感がある。
また特に気に入っているのは、取締役候補者一人ひとりが、採決の前に抱負を述べることだ。最近は招集通知の中に、各候補者がメッセージを載せている会社もあって、もちろんそれも良いと思うけれど、こうして大勢の株主の前で話すと、言ったからにはやらねばならぬ、という感じがしてさらに良い。考えてみれば、自分を承認してくれ、という場なのだから、このくらい当然のような気もする。

と、ここまでは例年通りだが、今年は残念ながら、少々印象が悪かった。温かい株主ばかりなのは良いのだが、どこか少し行き過ぎているような。

2015年度の業績は、売上は伸びているが、営業利益で12％ほどの減益だ。そのほとんどは「ネットワークエンターテインメント事業」というセグメントから来ている。ここにはゲームソフトと業務用のゲーム機器、ゲームセンターなどの運営が含まれている。事業報告を読むと、ゲームソフトはよく売れたが、業務用の機器が苦戦した、と書いてある。これだけ読むと、悪かったのは業務用機器だけであった、という理解になるが、機器の売り上げは部門の2割程度に過ぎないし、普通に考えれば機器の利益率がソフトウェアよりずっと高いとも思えない。それなのに部門が2割近くも減益になっているのだから、ソフトウェアの利益率が落ちたと考えるのが自然ではないか。この部門が大きく減益となった理由をもう少し説明してほしい。

…と私は質問したのだが、「ソフトウェアはよく売れた。悪かったのは業務用機器であった。」というのが回答。これでは書面に書いてあることと同じ。全く答えになっていない。ソフトウェアの利益率が落ちたのではないか、と聞いたのだ。質問を聞いていなかったのか、何かを隠しているのか、個人投資家だと思って馬鹿にしているのか。

悪意があったにしても無かったにしても、株主がフレンドリーすぎて、緊張感が無くなっているのではないか。そもそも二桁の減益になっているというのに、私以外の誰も業績について質問しないというのもどうかと思う。多くの株主が発言するが、誰もかれも個々の製品やサービスについて、こうしたらいいとか、こうしてほしいとか、そんな内容ばかり。以前はこれほど偏ってはいなかったように思うが…。

出かけてきた私も気が緩んでいたが、会社も少々緩んでいるようだ。減益の場合は、より丁寧に説明しなくちゃいけない。業績が悪化した時に、ガバナンスの真価が問われる。
